These Terms of Service ("Terms") govern your access to and use of the FeasibL application and related services (collectively, the "Service"), published by Dark Horse Matrix Inc. ("Company", "we", "us", or "our"). By accessing or using the Service, you accept and agree to be bound by these Terms and any posted guidelines or rules applicable to specific features. If you do not agree to these Terms, please do not use the Service.
Dark Horse Matrix Inc., operating under the name FeasibL, provides a real estate underwriting and financial modeling platform for developers and investors across Canada. The Service includes financial proforma modeling, 3D massing visualization, zoning summaries, yield matrices, and project management features. We reserve the right to modify, suspend, or discontinue the Service at any time, with or without notice.
The Service is a self-serve design and underwriting platform. All outputs (massing, site plans, setbacks, financial models, renderings) are generated by you, the user, using the platform's deterministic zoning engine, geometric tools, and AI assistance. The Service does not include licensed architectural, engineering, or code-review services.
Early Access:This Service is in an early-access phase and under active development. It may contain bugs, errors, and other issues that could cause system failures or data loss. The Service is provided "AS IS" without warranty of any kind.
The Service utilizes Artificial Intelligence (AI) and Machine Learning models to generate architectural massing, financial projections, and zoning summaries ("Generative Content"). You acknowledge and agree that:
To access certain features of the Service, you may be required to register for an account. You agree to provide accurate, current, and complete information during registration and to keep such information up to date. We reserve the right to reject registrations from disposable, temporary, or throwaway email providers. Email verification may be required to access certain features, including free trials and paid subscriptions.
You are responsible for safeguarding your password. You agree that you will not disclose your password to any third party and that you will take sole responsibility for any activities or actions under your account, whether or not you have authorized such activities or actions. You will immediately notify us of any unauthorized use of your account.
You agree not to use the Service to:
The Service and its original content (excluding User Content), features, and functionality are and will remain the exclusive property of Dark Horse Matrix Inc. and its licensors. The Service is protected by copyright, trademark, and other laws of both Canada and foreign countries. "FeasibL" and the FeasibL logo are trademarks of Dark Horse Matrix Inc.
You retain all rights to the data, projects, and information you submit to the Service ("User Content"). By submitting User Content, you grant Dark Horse Matrix Inc. a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, and display such Content solely for the purpose of providing and improving the Service.
If you use the Service's "Share" features to create public links to your projects, you acknowledge that any person with the link can view your Project Data. You are solely responsible for managing the distribution of these links.
The Service offers the following tiers:
New users may start a 7-day free trial of the Pro Subscription. No payment method is required at the start of the trial, and no charges will be made at the end of the trial period. To continue with Pro access after the trial expires, you must subscribe through the standard checkout flow. Each user account is limited to one free trial.
Pro Subscriptions are billed in advance on a recurring monthly or annual basis ("Billing Cycle"). All fees are charged in Canadian Dollars (CAD) and are subject to 5% GST. One-time Design-Suite Unlock purchases are billed as a single charge at the time of unlock.
If you do not subscribe after your free trial ends, your project data will be retained for 30 days from the trial expiration date and then permanently deleted. You may export your data at any time before deletion through your account settings.
You may cancel your Pro Subscription at any time through your account settings. Cancellation takes effect at the end of the current Billing Cycle; your Pro access remains active until that date. Unless required by law, paid subscription fees are non-refundable. Design-Suite Unlock fees are non-refundable except where required by law. If a refund is processed (for example, via a duplicate-charge dispute), access to the design suite for that project will be revoked.
Dark Horse Matrix Inc., in its sole discretion and at any time, may modify subscription fees. Any fee change will become effective at the end of the then-current Billing Cycle, with at least 30 days' notice for material increases.
We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.
In no event shall Dark Horse Matrix Inc., nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; and (iv) unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.
Your use of the Service is at your sole risk. The Service is provided on an "AS IS" and "AS AVAILABLE" basis. The Service is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement or course of performance.
Zoning & Code Compliance: The Service uses algorithms to estimate zoning envelopes and building code compliance. These are estimates only and may not reflect specific municipal interpretations, recent bylaws amendments, or site-specific variances.
Not Professional Advice: All outputs are generated by users with platform-assisted tools and AI. They do not constitute architectural practice, engineering, legal, or code-review services. Neither FeasibL nor Dark Horse Matrix Inc. is providing professional architectural advice through this Service. Verify all outputs with qualified professionals before any investment, design, or construction decision.
These Terms shall be governed and construed in accordance with the laws of the Province of Manitoba and the federal laws of Canada applicable therein, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material we will provide at least 30 days notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
